Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Patriot Bio Supply, LLC ("PBS," "we," or "us") platform at patriotbiosupply.com (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

3. Service description

PBS provides a procurement platform that includes product catalog access, compliance evaluation, audit packet generation, order processing, and PunchOut integration for enterprise procurement systems. Our services are provided on a commercially reasonable "as available" basis.

• Regulatory guidance, compliance scoring, and audit support are provided for operational assistance and do not constitute legal, regulatory, or financial advice.
• Compliance evaluations reflect the rules and evidence available at the time of evaluation. Buyers remain responsible for final procurement authority and approvals.
• Product availability and pricing are subject to change based on manufacturer and distributor conditions.

4. Orders and payments

• Orders placed through the Platform are subject to compliance evaluation and may be approved or blocked based on applicable procurement rules.
• Payment processing is handled through Stripe. By placing an order, you agree to Stripe's terms of service.
• Pricing displayed on the Platform is in United States Dollars (USD) unless otherwise stated.
• We issue compliance audit packets for approved orders. These packets document the evidence and evaluations at the time of order and are provided for procurement record-keeping purposes.

5. Intellectual property

• The Platform, including its design, code, content, compliance engine, and scoring algorithms, is the intellectual property of Patriot Bio Supply, LLC.
• You retain ownership of data you submit to the Platform (orders, company information, evidence files).
• You grant PBS a limited license to use your submitted data solely for the purpose of providing our services to you.
• Buyers receive a limited, non-exclusive license to use generated compliance audit packets solely for procurement compliance purposes. Audit packets may be shared with government contracting officers and auditors as necessary.
• You may not reproduce, distribute, or create derivative works from Platform content without prior written consent.

6. Service availability

• We aim to maintain Platform availability at commercially reasonable levels but do not guarantee uninterrupted or error-free service.
• Availability may be interrupted for scheduled maintenance, security updates, or events beyond our reasonable control (including infrastructure provider outages).
• We will make reasonable efforts to provide advance notice of planned maintenance that may affect service availability.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PBS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

PBS'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO PBS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF PBS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS DO NOT APPLY TO U.S. GOVERNMENT ENTITIES TO THE EXTENT RESTRICTED BY APPLICABLE LAW.

8. Indemnification

You agree to indemnify, defend, and hold harmless PBS, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any data or content you submit through the Platform.

9. Termination

• You may terminate your account at any time by contacting us at the email address below.
• We may suspend or terminate your access for violation of these Terms, non-payment, or if required by law.
• Upon termination, your right to access the Platform ceases. Order records, compliance packets, and audit data will be retained in accordance with our data retention policy as described in our Privacy Notice.
• Sections 5 (Intellectual Property), 7 (Limitation of Liability), 8 (Indemnification), 10 (Governing Law), and 13 (Federal Procurement) survive termination.

10. Governing law and disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Purchases by U.S. Government agencies are governed by applicable federal law, and any inconsistent terms herein shall not apply to such purchases.

Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in Texas. This arbitration provision does not apply to disputes with U.S. federal government entities to the extent prohibited by the Contract Disputes Act or other applicable federal law.

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information.

11. Modifications

We may update these Terms from time to time. Material changes will be communicated through an in-platform notification or email to registered account holders at least thirty (30) days before they take effect. Continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms. The "Last updated" date at the top of this page indicates the most recent revision.

12. Force majeure

PBS shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from events beyond its reasonable control, including but not limited to natural disasters, government actions, internet or infrastructure outages, or acts of third parties.

13. Federal procurement

Purchases by U.S. Government agencies are subject to FAR 52.212-4 (Contract Terms for Commercial Products and Commercial Services) and applicable federal acquisition regulations. To the extent any terms in this Agreement conflict with applicable FAR/DFARS clauses incorporated by reference into a government purchase order, the federal terms shall control. PBS will comply with applicable data breach notification requirements as described in our Privacy Notice.
